Please tick YES to agree to the below T&Cs pertaining to the event * This Agreement ("Agreement") is made and entered between Gold Coast Pop Up Weddings Pty Ltd ATF The Nicholls Family Trust T/AS WedMe, located at 12 Durang Place, Reedy Creek, Queensland ("WedMe"), and Venue as specified above. WHEREAS, WedMe organises Wedding Trail events (the "Event"); WHEREAS, Venue wishes to participate in the Event by showcasing its facilities to potential clients. Note: The Events organised by WedMe and Venue participation herein are scheduled to occur annually. This Agreement shall take effect for any Event that the Venue agrees to participate in, as confirmed through written correspondence via email between WedMe staff and Venue staff. Such email correspondence shall constitute contractually agreed participation in the Event, and the terms and conditions of this Agreement shall apply accordingly. The Agreement shall remain in force for the duration of each individual Event, commencing upon the confirmation of Venue participation and concluding upon the completion of the respective Event, unless terminated earlier in accordance with the provisions of this Agreement. NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows: Participation Venue agrees to participate in the Events by opening its facilities to potential customers and providing information about its services to registered attendees. Venue shall provide at least one staff member to be present during the Event hours to assist in showcasing the Venue. Promotion WedMe agrees to include Venue in all promotional materials related to the Event, including but not limited to website listings, EDMs and social media posts. Venue shall provide WedMe with necessary promotional materials, such as high-resolution images and descriptions as needed. Fees As at the date of this Agreement, there are no fees for Venue participation in the Event. Cancellation and Withdrawal Venue may not withdraw from participation in the Event within 90 days of any agreed Event date. If Venue withdraws from the Event within 30 days, Venue shall pay WedMe the sum of $5,000 inc GST, and between 31-60 days the sum of $2,500 inc GST (to facilitate compensation for WedMe's services, marketing fees and vendor reimbursements) and may be liable for any additional costs incurred by WedMe due to the withdrawal. If WedMe cancels the Event for any reason, Venue will be given at least 6 months written notice and will be offered priority placement and additional promotional opportunities in the next scheduled Event. Responsibilities Venue shall ensure its facilities are clean, presentable, and safe for visitors on the day of the Event. WedMe shall provide Venue with a schedule of Event activities and expected visitor numbers no later than 14 days prior to the Event date. WedMe will collect all attendee RSVPs and provide Venue with a database of registrations for the Event no later than 30 days after the Event. The database will include attendee contact information and any relevant feedback collected during the Event. Postponement Due to Inclement Weather In the event of inclement weather, which includes but is not limited to severe storms, hurricanes, flooding, or any other weather conditions that pose a risk to safety or significantly impact the operations of the Event, WedMe reserves the right to postpone the Event to a later date. WedMe shall notify the Venue of the decision to postpone the Event no later than 48 hours before the scheduled start time, providing a new proposed date for the Event. If the Event is postponed due to inclement weather, the Venue agrees to participate on the rescheduled date without any additional fees or charges incurred to WedMe. In the event that the rescheduled date is not suitable for the Venue, the Venue must notify WedMe within 7 days of receiving the postponement notice. WedMe and the Venue shall mutually agree on an alternative date, subject to availability. If a mutually agreeable rescheduled date cannot be determined, WedMe will accept the Venue’s withdrawal from participation in the rescheduled Event. Venue agrees to maintain the same terms and conditions outlined in this Agreement for the rescheduled Event date. Vendor Placement WedMe will consult with the Venue regarding the placement of vendors to be showcased at the Venue during the Event. WedMe agrees to try to secure the Venue's preferred suppliers as vendors for the Event. However, if the preferred suppliers are unavailable or do not meet WedMe's criteria, alternative vendors will be selected. WedMe will take the Venue's input into consideration and strive to align vendor placements with the Venue's target demographic. However, the final decisions regarding vendor placements will ultimately rest solely with the WedMe team. The Venue agrees to accept and accommodate the vendors placed by WedMe, providing necessary support and facilities for their setup and operation during the Event. The Venue must only allow paying vendors that are registered with WedMe to showcase at their venue for the Event. Allowing non-paying vendors on-site is considered unfair to those vendors who have paid for participation, and it undermines the integrity and value of the Event. Ensuring that only paying, registered vendors are present maintains a fair and equitable environment for all participants. WedMe will ensure that all vendors are informed of the Venue's rules and regulations and will coordinate with the Venue to address any specific requirements or restrictions related to vendor placement and operations. Vendor Responsibilities Vendors participating in the Event shall be responsible for holding their own insurance policies covering liability, property damage, and any other relevant insurances required for their operations during the Event. Vendors shall be solely responsible for the setup (bump-in) and teardown (bump-out) of their booths or displays at the Venue. This includes all necessary equipment, materials, and personnel required for the setup and teardown process. Vendors must adhere to the Venue's terms and conditions at all times during the Event. This includes but is not limited to compliance with Venue rules, regulations, safety protocols, and any other directives issued by Venue staff or management. WedMe and the Venue reserve the right to request proof of insurance from vendors prior to the Event and may refuse entry or participation to any vendor who fails to provide adequate insurance coverage or comply with Venue rules and regulations. Vendors must not begin packing down their booths or displays until the conclusion of the Event at the Venue. This ensures a consistent and engaging experience for attendees and respects the commitment of all participants to the Event’s scheduled duration. Signage and Branding WedMe shall have the right to place signage and branding materials at the Venue for the duration of the Event, subject to prior approval by the Venue. The Venue agrees to provide reasonable assistance in displaying WedMe’s branding materials and ensuring they are visible to attendees. The Venue agrees to use WedMe's ready-made marketing material to ensure a collective and cohesive message is sent out to the public regarding the Event. This includes, but is not limited to, social media posts, flyers, and any other promotional content provided by WedMe. WedMe agrees to allow the Venue to promote the Event as desired, provided that any promotional materials or messaging are consistent with the collective and cohesive message agreed upon by both parties. Insurance and Liability Venue shall maintain adequate insurance coverage for its property and operations during the Event. Each party agrees to indemnify and hold the other harmless from any claims, damages, or liabilities arising out of their respective negligence or wilful misconduct. Term and Termination This Agreement shall commence on the date the signed by both parties and shall remain in effect indefinitely, covering all Events that the Venue agrees to participate in as confirmed through written correspondence between WedMe team and Venue staff. Termination of this Agreement shall occur only in accordance with the provisions outlined in the next clause. Either party may terminate this Agreement upon material breach by the other party, provided that the breaching party fails to remedy the breach within 30 days of written notice. Miscellaneous This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral. This Agreement may only be amended in writing signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. Any notices required under this Agreement shall be in writing and sent to the addresses listed above. Force Majeure Neither party shall be liable for any failure or delay in performing their obligations under this Agreement if such failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, or natural disasters.
